At MariseaX, we deeply value the trust our clients place in us as their strategic partner in sourcing premium frozen seafood. Our primary role is to connect international buyers with certified Indian shrimp farmers, seafood suppliers, exporters, and logistics providers, ensuring safety, transparency, and reliability at every step.

MariseaX acts as a trade facilitator and liaison, issuing commercial invoices, receiving payments from Buyers, and distributing funds to approved Suppliers and stakeholders in a controlled and traceable manner.

These Trading Terms are designed to ensure clarity, fairness, and mutual protection for all parties involved. Our first priority is safe, compliant, and ethical international trading.

Interpretation

For these Trading Terms and Conditions, the following definitions apply:

  • Buyer: The international customer or business entity purchasing seafood products through MariseaX. The Buyer is responsible for providing accurate order details, complying with all import regulations in their country, and making payments as per the agreed commercial terms. The Buyer engages with MariseaX for the facilitation, documentation, and secure delivery of Goods.
  • Goods: High-quality frozen seafood products, including but not limited to prawns, fish, and other aquaculture items sourced, processed, and exported from India by approved and certified Suppliers. All Goods are handled under strict hygiene, temperature control, and food safety practices to meet international import standards.
  • MariseaX: MariseaX Private Limited, acting as a trade facilitator and liaison between Buyers and certified Suppliers. MariseaX manages communication, documentation, invoicing, payment collection, and fund distribution, ensuring transparency, traceability, and compliance in every transaction.
  • Supplier: Certified Indian shrimp farmers, seafood processors, exporters, and logistics providers working in collaboration with MariseaX to supply Goods. Each Supplier operates in compliance with Indian export laws, food safety standards, and international trade regulations, maintaining consistent quality and sustainability practices.
  • Contract: The legally binding agreement between MariseaX and the Buyer, governed by these Trading Terms and Conditions, including any written acknowledgements, proforma invoices, or communications exchanged between the parties.

Basis of Sale

  • MariseaX operates as a trade facilitator and liaison, connecting international buyers with certified Indian suppliers and logistics partners. All transactions are managed through verified, documented, and traceable procedures to ensure quality and compliance.
  • MariseaX functions as the contractual counterparty for invoicing and payment coordination. While Goods are sourced and supplied by certified independent Suppliers, all documentation, payments, and communication are managed through MariseaX to maintain control and transparency.
  • Each transaction is established upon mutual agreement between the Buyer and MariseaX, confirmed through a formal written acknowledgment or proforma invoice specifying product details, pricing, Incoterms, and payment terms.
  • Once payment or written acceptance is received, MariseaX issues a written order confirmation, at which point a binding Contract is formed.
  • MariseaX reserves the right to verify supplier certifications, review documents, or adjust timelines to protect safety, quality, and regulatory compliance.
  • Any changes to the agreed terms must be confirmed in writing by MariseaX. Verbal commitments or informal messages are not valid.
  • All official communications must be conducted only through verified company email addresses ending with @mariseax.com.
  • The Buyer acknowledges that MariseaX’s role is to coordinate and facilitate trade, not to manufacture or process Goods.

Orders and Specifications

  • Buyers must provide complete and accurate order details, including product type, quantity, packaging, and destination.
  • Final specifications and prices are confirmed in writing by MariseaX.
  • Orders become binding only after MariseaX issues written confirmation.
  • Any changes after confirmation must be agreed in writing before shipment.
  • MariseaX may reject or revise orders that do not meet compliance or quality standards.

Price and Payment Terms

  • Prices are as stated in the commercial invoice issued by MariseaX and based on the confirmed proforma invoice.
  • Payment must be made in full within nine days from the date of the invoice, unless otherwise agreed in writing.
  • Payments must be made only to MariseaX’s authorized company account as specified on the invoice.
  • All payments must comply with Indian export, banking, and foreign exchange regulations.
  • Buyers are responsible for all bank charges and currency conversion costs.
  • Overdue invoices are subject to an interest charge of 1.6% per month.
  • MariseaX reserves the right to pause shipments in the event of non-payment or irregularities.

Delivery and Risk

  • Delivery is deemed complete once the Goods are handed to the carrier at the Indian port under the agreed Incoterms.
  • Risk and ownership transfer to the Buyer upon shipment departure from India.
  • MariseaX ensures all export documentation is accurate for customs clearance.
  • The Buyer is fully responsible for import duties, taxes, clearance, insurance, and compliance with local laws.
  • The Buyer or their inspection agency may request to inspect the Goods before shipment, coordinated with MariseaX.
  • MariseaX guarantees hygiene-controlled handling up to export handover.

Documentation

MariseaX ensures every shipment is accompanied by complete and accurate export documentation, prepared in compliance with Indian and international regulations.

  • Commercial Invoice – Confirms product details and payment terms.
  • Packing List – Itemizes quantities, weights, and packaging.
  • Health Certificate – Issued by the Export Inspection Council (EIC) or other approved agency.
  • Certificate of Origin – Certifies country of origin.
  • Bill of Lading or Airway Bill – Serves as the transport document for sea or air shipments.

Warranties and Liability

MariseaX carefully selects certified Suppliers and manages each transaction with transparency and due diligence. Once goods are delivered to the carrier under agreed Incoterms, MariseaX’s responsibility for the goods ends.

  • Any loss, damage, or deterioration of goods after export handover.
  • Delays caused by third parties, logistics providers, or customs authorities.
  • Indirect, consequential, or financial losses from shipping or force majeure events.

Force Majeure

Neither party is liable for delay or failure due to causes beyond control, including natural disasters, strikes, pandemics, or government restrictions. The affected party must notify the other promptly and resume performance as soon as possible.

Data Protection and Confidentiality

MariseaX protects all business and personal data shared during transactions. Buyer information is used solely for processing orders, as per our Privacy Policy. Both MariseaX and the Buyer agree not to disclose or misuse trade information or supplier details.

Dispute Resolution and Governing Law

  • Disputes shall first be resolved through amicable discussion and negotiation.
  • If unresolved, they shall be governed by Indian law and subject to the courts of Chennai, Tamil Nadu.
  • Both parties agree to act in good faith to resolve issues efficiently.

Anti-Fraud and Compliance

MariseaX maintains strict anti-fraud and compliance procedures. Any attempt of fraud, misrepresentation, or payment diversion will result in immediate termination and may be reported to authorities.

General Terms

  • These Terms apply solely to the contracting parties.
  • MariseaX may update these Terms to reflect changes with notice given to Buyers.
  • No third party shall have any rights under these Terms.
  • If any clause is found invalid, the remaining provisions remain enforceable.
