At Mariseax, we deeply value the trust you place in us as your partner in sourcing premium frozen seafood. Our role is to connect international buyers with trusted Indian shrimp farmers, seafood suppliers, exporters. and logistics providers. We act as a trade felicitator and intermediary issuing commercial invoices, receiving payments from Buyers, and distributing funds to the relevant Suppliers and stakeholders.

Interpretation

• Buyer: Our valued international client purchasing Goods through MariseaX
• Goods: High-quality frozen seafood products (eg, shrimp, fish) sourced from trusted Suppliers,
• MariseaX: Trace facilitator and payment intermediary, managing communication, documentation, invoicing, and onward payment distribution to Suppliers
• Supplier: Indian shrimp farmers, processors, exporters, and logistics providers engaged by MariseaX.
• Contract: The agreement guided by these Terms, reflecting our shared understanding. understand

Basis of Sale

• Mariseax facilitates supply arrangements between Buyers and Suppliers.
• Mariseax acts as the contractual counterparty for invoicing and payments, while the Goods sourced and supplied by independent Suppliers.
• Orders are binding only upon written acknowledgement by MariseaX.
• All agreements must be in writing to avoid misunderstandings

Orders & Specifications

• Buyers must provide complete and accurate order details.
• Final specifications, as confirmed in MariseaX’s written acknowledgement will guide fulfilment.

Price & Payment (Revised)

• Prices are as stated in the commercial invoice issued by MariseaX
• Payment must be made in full to Mariseax within 7 days of invoice receipt
• Payments received by Mariseax are deemed full settlement of the Buyer’s payment obligation
• To encourage timely settlement and cover administrative costs,
• overdue invoices may be subject to a financing charge of 2% per month calculated on a pro-rata daily basis from the due date until payment is received
• MariseaX reserves the right to clause shipments in the event of unpaid invoices

Delivery & Risk

• Delivery is complete once the Goods are handed to the carrier at the Indian port (FOB/CTR terms)
• Risk transfers to the Buyer upon shipment departure
• The Buyer is responsible for compliance with all import regulations, duties, and taxes in the destination country.
• MariseaX will provide full export documentation to support clearance.

Documentation

MariseaX will coordinate and provide:

• Commercial Invoice (issued by MariseaX)
• Packing List
• Health Certificate (Export Inspection Council – EIC)
• Certificate of Origin
• Bill of Lading

All documents will be provided electronically to the Buyer.

Warranties & Liability

• MariseaX carefully selects Suppliers and manages transactions with diligence.
• Product quality, food safety, and compliance with import regulations remain the sole responsibility of the Supplier.
• MariseaX’s liability is limited to the value of its facilitation service fee for the relevant transaction MariseaX shall not be liable for:
• Product defects or contamination
• Delays in logistics or shipping
• Indirect or consequential business losses
• MariseaX will, however, facilitate communication to resolve Buyer concerns with the Supplier.

Force Majeure

Neither party shall be held liable for delays or non-performance due to events beyond reasonable control, including natural disasters strikes, port closures, pandemics, government restrictions, or trans-port disruptions

Data Protection

We respect your privacy. Buyer data will be used solely to process orders and enhance our services, in line with our Privacy Policy at www.mariseax.com.

Dispute Resolution

Any disputes will first be addressed through amicable discussion.

 If unresolved, disputes shall be governed by Indian law and subject to the jurisdiction of the courts of Chennai, Tamil Nadu.

General

• These Terms apply solely to the contracting parties.
• MariseaX may amend these Terms from time to time, with notice provided to Buyers of any significant changes.
